Maintley Terms of Service Effective Date: February 26, 2026 These Terms of Service (“Terms”) govern your access to and use of the Maintley application, website, and related services (collectively, the “Service”) operated by Dober Family Ventures, LLC (“Maintley,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. 1. Description of the Service Maintley is a software tool designed to help users: Organize, track, and receive reminders for maintenance tasks they create. Maintain records of past maintenance, devices, systems, and contractor work. Export maintenance history and reports in various formats. Important Limitations: Maintley does not provide professional maintenance, legal, safety, or construction advice. Maintley does not recommend, prescribe, or guarantee specific tasks, timelines, or compliance. Maintley does not monitor physical assets or perform inspections. All tasks, schedules, and maintenance history are user-defined. 2. User Responsibilities You are solely responsible for: Deciding what maintenance tasks to create and when to perform them. Ensuring all work complies with applicable laws, building codes, warranties, regulations, and safety standards. Verifying the accuracy of all information entered into the Service. Acknowledgment: Reminders, logs, and tracking features are informational only. Maintley is not responsible for missed tasks, errors, or damages resulting from user decisions. 3. No Professional Advice The Service does not provide professional guidance. If you need legal, mechanical, safety, or construction advice, consult a qualified professional. 4. Accounts and Security You are responsible for maintaining the confidentiality of your account credentials. You may not share your account or allow unauthorized access. You must provide accurate, current information when creating or updating an account. We may suspend or terminate accounts for violations of these Terms. 5. Subscriptions and Payments Some features require a paid subscription. By subscribing: Fees are charged as disclosed at signup and recur according to the billing cycle shown at checkout. Free-tier access remains subject to the limits shown in the app. Paid subscription features require an active subscription. You may cancel at any time; access continues until the end of the billing period. Fees are non-refundable except as required by law. Maintley may adjust taxes or pricing as required by law, with excess taxes refunded promptly. We may change pricing with reasonable notice. 6. Taxes Subscriptions may be subject to federal, state, or local taxes. Customers are responsible for providing accurate billing information. Maintley reserves the right to adjust tax calculations as required by law. Any excess tax collected will be refunded promptly. 7. Availability and Modifications Maintley strives to maintain access to the Service but does not guarantee uptime. We may: Modify, suspend, or discontinue features. Perform maintenance or updates. Temporarily restrict access. We are not liable for downtime, interruptions, or data loss. 8. Data, Content, and User-Generated Entries You retain ownership of the data you enter. By using the Service, you grant Maintley a license to store and process your data solely to operate the Service. Maintley does not guarantee the accuracy, completeness, or permanence of data. User-Generated Content: Includes notes, maintenance logs, contractor records, and media uploaded to the Service. Must not contain unlawful, infringing, harmful, or offensive content. Maintley may remove content violating these Terms. 9. Maintenance History Disclaimer Maintley provides tools for recording and tracking maintenance. Users are responsible for entering accurate information. Maintley does not guarantee the accuracy of past maintenance events not logged in the system. Exported maintenance reports (PDF, CSV, etc.) are informational only and cannot be relied upon for legal, insurance, resale, or regulatory purposes. 10. Contractor / Vendor Records Maintley allows tracking of contractors, vendors, and maintenance tasks for organizational purposes. Maintley is not responsible for the quality, safety, legality, or timeliness of any work performed. Users must independently verify all work performed by third parties. 11. Tenant Data / Access Tenant access is limited to properties or units they are authorized to view. Users and property managers are responsible for accurate data entry and managing tenant access. Maintley is not liable for errors, omissions, or misuse of tenant-submitted information. 12. Limitation of Liability To the maximum extent permitted by law: The Service is provided “as is” and “as available.” Maintley disclaims all warranties, express or implied, including merchantability or fitness for a particular purpose. Maintley is not liable for: Missed or incomplete tasks Property damage or loss Safety issues or accidents Compliance failures or legal consequences Your use of Maintley is at your own risk. 13. Indemnification You agree to indemnify and hold harmless Dober Family Ventures, LLC from claims, damages, losses, or expenses arising from: Your use of the Service Tasks you create or rely upon Maintenance actions or omissions User-generated content 14. Termination You may stop using the Service at any time. Maintley may suspend or terminate access for violations of these Terms or misuse of the Service. Termination does not relieve you of payment obligations or indemnification responsibilities. 15. Changes to These Terms Maintley may update these Terms. Continued use after changes constitutes acceptance. 16.
